Metrowerks CodeWarrior is a commercial product that was discontinued.
I doubt you will find any properly-licensed downloads of it available.
Your only choices, if you truly need Metrowerks CodeWarrior, will be to
buy a used license from someone who is selling one (as long as this is
allowed by the license agreement), or to approach the vendor
(Freescale) and see if they will sell you a license and media for the
old version or otherwise make it available to you.
Modern Mac OS X software can be built using Apple's Xcode development
environment on Mac OS X. Xcode 2.4 can be downloaded using your Apple
Developer Connection account at <http://connect.apple.com/>.
If you
aren't a member of the Apple Developer Connection, you can join at the
Online level for free. More information is available at on the Apple
Developer Connection web site at <http://developer.apple.com/>,
along
with all of the Mac OS X do***entation and a very large volume of
sample code.
